The thesis analyses risk governance in acquisitions of corporate shareholdings, with specific regard to buyer protection under Share Purchase Agreements and to the phase between signing and closing. The research starts from the traditional classification of transfers of corporate shareholdings, according to which the immediate object of the contract is exclusively the formal shareholder status, while the assets of the target company remain outside the contractual synallagma, unless specific contractual warranties are provided. Although this approach is consistent with the principle of the company’s separate patrimony, it reveals significant limitations when applied to M&A transactions, where the buyer does not merely aim to acquire a formal shareholder position, but rather to access the economic and entrepreneurial value of the target company. In light of these critical issues, the thesis proposes a functional interpretation of the acquisition transaction, distinguishing between the object of the transfer obligation, represented by shares or quotas, and the concrete cause of the transaction, identifiable in the acquisition of the target’s value. From this perspective, the Share Purchase Agreement emerges as a tool for the proceduralisation and governance of risk, aimed at overcoming the shortcomings of statutory remedies through the use of contractual autonomy. The analysis focuses, in particular, on the main contractual instruments for buyer protection: sole and exclusive remedy clauses, covenants and MAC clauses in the interim period, representations and warranties, disclosure, indemnity clauses and price adjustment mechanisms. The thesis also examines instruments for the segregation and externalisation of risk, such as escrow accounts, trust funds and Warranty & Indemnity insurance policies. The aim of the research is to demonstrate how M&A contractual practice allows the rigidity of the distinction between immediate object and mediated object to be overcome, without dissolving the corporate form or removing the Share Purchase Agreement from the fundamental principles of the Italian legal system. Buyer protection is therefore achieved not through the simple abandonment of traditional civil law categories, but through their reinterpretation in light of the concrete function of the transaction and of the limits imposed by good faith, fairness and contractual public policy.

L'elaborato analizza il governo del rischio nelle operazioni di acquisizione di partecipazioni societarie, con particolare riferimento alla tutela dell’acquirente negli Share Purchase Agreements e alla fase compresa tra signing e closing. La ricerca muove dal tradizionale inquadramento della cessione di partecipazioni sociali, secondo cui l’oggetto immediato del contratto sarebbe costituito esclusivamente dallo status socii, mentre il patrimonio della società target resterebbe estraneo al sinallagma contrattuale, salvo specifiche pattuizioni di garanzia. Tale impostazione, pur coerente con il principio di autonomia patrimoniale della società, mostra significativi limiti quando viene applicata alle operazioni di M&A, nelle quali l’acquirente non mira soltanto ad acquisire una posizione formale di socio, ma ad accedere al valore economico e imprenditoriale della società partecipata. Alla luce di tali criticità, la tesi propone una lettura funzionale dell’operazione acquisitiva, distinguendo tra l’oggetto della prestazione traslativa, rappresentato dalle azioni o quote, e la causa concreta dell’operazione, identificabile nell’acquisizione del valore della target. In questa prospettiva, lo SPA emerge come strumento di procedimentalizzazione e governo del rischio, volto a colmare le insufficienze dei rimedi legali attraverso l’impiego dell’autonomia negoziale. L’indagine si concentra, in particolare, sui principali strumenti convenzionali di protezione dell’acquirente: le clausole di sole and exclusive remedy, i covenants e le MAC clauses nell’interim period, le representations and warranties, la disclosure, le indemnity clauses e i meccanismi di price adjustment. Vengono inoltre esaminati gli strumenti di segregazione ed esternalizzazione del rischio, quali escrow account, trust fund e polizze Warranty & Indemnity. L’obiettivo della ricerca è dimostrare come la prassi contrattuale dell’M&A consenta di superare la rigidità della distinzione tra oggetto immediato e oggetto mediato, senza tuttavia dissolvere la forma societaria né sottrarre lo SPA ai principi fondamentali dell’ordinamento italiano. La tutela dell’acquirente si realizza, dunque, non mediante il semplice abbandono delle categorie civilistiche tradizionali, ma attraverso una loro rilettura alla luce della funzione concreta dell’operazione e dei limiti imposti da buona fede, correttezza e ordine pubblico contrattuale.
